1. About Selcor
Selcor provides an AI-powered operational platform for healthcare and wellness practices, including dental offices, medical practices, veterinary clinics, optometry offices, chiropractic practices, and behavioral health providers. Our Services include, but are not limited to:
- AI-powered reception and call handling
- Appointment scheduling, confirmations, and reminders
- Patient intake and follow-up management
- Two-way patient-office communication via SMS
- Patient recall and re-engagement notifications
- Billing and payment facilitation
- After-hours messaging and routing
2. Eligibility
You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a business or entity, you represent and warrant that you have the authority to bind that entity to these Terms.
3. Accounts
To access certain features of the Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Provide accurate, current, and complete information during registration
- Keep your account information up to date
- Notify us immediately of any unauthorized access to or use of your account
- Not share your account credentials with third parties
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for unauthorized purposes.
4. SMS Messaging Program — Terms and Conditions
Selcor operates an SMS messaging program on behalf of healthcare and wellness practices for operational communications. The following terms apply to the SMS messaging features of our Services.
a. Program Name and Description
Program Name: Selcor SMS Messaging
Program Description: Selcor provides SMS messaging on behalf of healthcare and wellness practices (such as dental and medical offices) for operational communications. Messages include appointment confirmations, reminders, rescheduling notices, two-way patient communication with office staff, and optional patient recall or re-engagement notifications. All messages are sent only to patients who have explicitly opted in to receive SMS communications from their provider.
b. Consent to Receive Messages
By providing your mobile phone number and opting in to receive SMS messages from your healthcare provider through Selcor, you consent to receive recurring automated text messages related to your care, appointments, and provider communications. Consent is not a condition of purchase or service. You may opt in through:
- In-office registration or intake forms
- Online scheduling forms or the provider's website
- Verbal consent during phone calls with office staff, documented in the provider's system
c. Message Frequency
Message frequency varies based on your appointment schedule and interactions with your healthcare provider. You may receive multiple messages per week depending on upcoming appointments, rescheduling activity, and communications initiated by you or the provider's office.
d. Message and Data Rates
Message and data rates may apply. Please contact your wireless carrier for details about your text messaging plan and any applicable charges. Selcor is not responsible for any fees charged by your carrier.
e. Opt-Out Instructions
You may opt out of receiving SMS messages at any time by texting STOP to any message you receive from us. After sending STOP, you will receive a one-time confirmation message and will no longer receive SMS messages unless you re-subscribe. You may also contact the healthcare practice directly to request removal from SMS communications.

g. Supported Carriers
Our SMS messaging services are compatible with most major U.S. wireless carriers. Carriers are not liable for delayed or undelivered messages.
h. Privacy
Your privacy is important to us. We do not sell, share, or use mobile phone numbers or SMS message content for marketing or advertising purposes. 5. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services in any way that violates any applicable federal, state, local, or international law or regulation
- Use the Services to send unsolicited or unauthorized advertising, spam, or promotional messages
- Impersonate or attempt to impersonate Selcor, a Selcor employee, another user, or any other person or entity
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services or any servers, networks, or systems connected to the Services
- Use any automated means (robots, scrapers, etc.) to access the Services without our express written permission
- Attempt to reverse-engineer, decompile, or disassemble any part of the Services
- Use the Services to transmit any malicious code, viruses, or harmful software
- Use the Services in a manner that could disable, overburden, damage, or impair the Services
6. Healthcare Practice Responsibilities
If you are a healthcare practice using our Services, you are responsible for:
- Obtaining proper consent from patients before enrolling them in SMS communications through our platform
- Maintaining records of patient consent in accordance with applicable laws and regulations
- Complying with all applicable healthcare laws and regulations, including HIPAA, in your use of the Services
- Ensuring that the information you provide through the Services is accurate and up to date
- Honoring patient opt-out requests and maintaining a do-not-contact list
- Using the Services only for operational, informational, or appointment-related purposes as described in these Terms
7. Intellectual Property
The Services, including all content, features, functionality, software, text, graphics, logos, and trademarks, are owned by Selcor Inc. or its licensors and are protected by United States and international intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.
You retain ownership of any content you submit through the Services. By submitting content, you grant us a limited, non-exclusive license to use, process, and store that content as necessary to provide the Services.
8. Third-Party Services
Our Services may integrate with or contain links to third-party services, websites, or applications. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. SELCOR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
SELCOR DOES NOT PROVIDE MEDICAL ADVICE. THE SERVICES ARE OPERATIONAL AND ADMINISTRATIVE TOOLS FOR HEALTHCARE PRACTICES AND ARE NOT INTENDED TO REPLACE PROFESSIONAL MEDICAL JUDGMENT, DIAGNOSIS, OR TREATMENT. ALWAYS SEEK THE ADVICE OF YOUR HEALTHCARE PROVIDER WITH ANY QUESTIONS REGARDING A MEDICAL CONDITION.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SELCOR INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF SELCOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SELCOR'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO SELCOR, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Selcor Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of or access to the Services
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights, including intellectual property or privacy rights
- Any content you submit through the Services that causes damage to a third party
12. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
If you are a healthcare practice client with a service agreement, termination of your account will be governed by the terms of that agreement. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in the State of Florida, and you consent to the personal jurisdiction of such courts.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will post the updated Terms on our website with a revised "Last updated" date. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Selcor regarding the use of the Services and supersede all prior agreements, representations, and understandings.
